Two problems found in the plan documents: (1) it states there are no SAFEs, notes or warrants outstanding, while a $1M pre-seed SAFE at a $5M post-money cap is actively being raised — that will be checked, and an inaccurate cap table is a credibility hit at exactly the wrong moment. (2) A former co-founder's equity removal is documented as resolved in an older file but appears nowhere in the canonical cap table, which leaves an unexplained gap in the ownership history.
